General Sales Conditions

General work, sale and guarantee conditions

1. Our works and sales are exclusively governed by the present General Conditions, whereby our clients must expressly declare their acceptance of ordering works or goods from us.
Derogation from the present conditions may be made only by means of an express written agreement between the two Parties.
2. Our specifications and offers are based on the prices at the time of their submission, salaries and materials.
In case of change of these values, we reserve the right to adjust the prices given in our specifications and offers proportionately by means of prior notification to the client if the increase represents more than 10%. In such cases the client is regarded as having accepted the increase if he does not cancel the order, in writing, within 10 days of this notification.
Unless in application of Article 2, point 2 above, if the client cancels an order he become liable to payment, by way of damages, of a flat-rate compensation equal to 10% of the value of the order, excluding VAT.
3. Our delivery dates are given for guidance only and do not bind our company, regardless of whether the delay is to be ascribed to force majeure or to late delivery from a supplier. Exceeding delivery date does not give the client entitlement to any compensation, nor cancellation of the Agreement in whole or in part, unless error can be ascribed to our company.
4. Unless expressly otherwise agreed, the goods entrusted for repair or for works and the sold goods are delivered and accepted on site.
If not, the entrusted and sold goods, even in case of free-at-destination sale, are shipped at the client’s own risk. Unless otherwise agreed, any transport costs are charged to the client.
If the client should fail to collect the goods entrusted for works or for repair, or the sold goods, at the appointed time, we expressly reserve the right, for split consignments, to regard the Agreement as suspended or dissolved, without service of prior notice, with reservation of all our other rights.
In such cases the storage and safekeeping in our warehouses of the goods entrusted for works, or for repairs, or of the sold goods, pending their collection by the client, are at the client’s own risk and costs; a demurrage is charged (€ 10 per day, excluding VAT).

5. If the execution of the Agreement should be rendered impossible on account of force majeure, the Agreement shall be dissolved or its execution suspended, automatically, without the client thereby being for any reason entitled to claim any compensation from us.
We reserve the right to regard the Agreement as dissolved automatically, without service of prior notice of default to the client, in case of bankruptcy, application for a legal constitution arrangement or insolvency of the client.
6. Any complaint concerning our sale/deliveries or repairs (software and hardware) must be communicated to us, by registered letter, within eight days of the date of delivery of the goods and/or within 8 days of receipt by the end-user, if determination of compliance of the goods requires an inspection test. The complaint must include clear mention of the date and the number of the invoice and set out the reasons for the complaint.
7. Unless otherwise agreed, that is, to make a payment in cash before delivery or some other due date, our invoices are payable within 30 days, calculated from the invoice date. In the absence of payment by the due date, our invoices or the outstanding balance will, on expiry of the deadline and then only, automatically and without service of prior notice of default, be increased by interest for late or overdue payment, calculated in accordance with the law of 2 AUGUST 2002. – Law on combating late payment in commercial transactions. Furthermore, any amount still unpaid 10 days after the sending of a notice of default, shall be increased, by way of flat-rate compensation, by an amount equal to 10% of the outstanding balance. Charges in connection with unpaid exchanges or cheques and any other collection costs are not included in this flat-rate compensation and will be invoiced to the clients separately. In case of non-payment by the due date, we further reserve the right to suspend current deliveries. We also further reserve the right to regard the Agreement as dissolved for any non-completed remainder, in whole or in part; this automatically and without service of prior notice of default or any other formality.
8. We reserve entire property rights in respect of all our goods until payment of capital, interests and costs, is effected in full and until all obligations issuing from this Agreement have been honoured completely.

9. In case of works ordered by the client on goods (hardware and software) or on units belonging to the client or to third parties and entrusted to us for execution of works, installation or replacement, our responsibility is limited to the correct execution of the works according to the rules of the art.
We guarantee that our works and deliveries will be in compliance with the order and that the spare and replacement parts and units delivered by us will be in good working order.
Under no circumstances may we be held liable for any defects or for errors made in the reassembly, by the client or by third parties, of goods or their parts or units repaired and delivered by us.
If the delivered goods should display visible defects or are not in compliance with the order, the client must make arrangement for a written report at the time of delivery and/or after extensive testing of the delivered/repaired spare and replacement parts (both software and hardware). Whatever the circumstances the client must notify us, by registered letter, regarding any complaint within 15 days of the delivery and/or after extensive tests on the delivered/repaired pare and replacement parts (software and hardware), in all other cases delivery is regarded as accepted. The submission of a complaint does not in any case release the client from his obligation to pay. In the event that the client should discover a hidden defect, he must notify us accordingly within a time limit of 8 days after such discovery.
The guarantee is limited to the repair, change or replacement of parts or components preventing the correct working of repaired goods. The guarantee does not, however extend to any consequential damage, incl. damage arising from the loss of use of the ship. Without prejudice to the above provisions, the guarantee is limited to the equivalent value of the repair under own direct management and is valid up to 6 months after the repair.
To be able to file a legally valid claim for any benefit under the guarantee to be provided by the site, the client must, on penalty of time limitation and forfeiture, notify AMSS accordingly, without delay, by registered letter. The client is expected to offer AMS&S all possible assistance to enable the latter to determine and remedy the defects. Under no circumstances may the client attempt to proceed to any such repairs by its own endeavours or to make arrangement for any such repairs without prior written permission given by AMS&S.

The works under guarantee must be executed in our own workshops or in one or another workshop designated by us. Our guarantee does not cover maintenance work or adjustments, deployment of other operations necessary for normal use of repaired or delivered spare or replacements parts or components, or parts, components or elements that would normally be replaced in maintenance works recommended by the manufacturer. Our guarantee does not cover normal wear and tear of the repaired or delivered engine, engine parts or units. The purchaser may not rely on the guarantee if a defect can be attributed to unprofessional or abnormal use, negligence, or insufficient or incorrect maintenance by the purchaser, or if the repaired or delivered spare or replacement parts or units are repaired, developed or used by third parties, exception being made in case of prior specification from the client, accepted by our company, in connection with competitions or rallies.
The client undertakes that he or the user, will take all the necessary measures in order not to aggravate any damage, even simply by no longer using the delivered goods. Should he fail to do so, due account will be taken of any such aggravation for the purpose of consideration of the extent of any future involvement on our part.
Assembly and disassembly work required or arising from intervention on our part, under guarantee, plus transport costs, are charged to the client.
10. Our works and sales are exclusively governed by Belgian law. The courts of law serving the legal district in which the registered office of our company is situated have sole competence.
If any provision or provisions of the present General Work, Sale and Guarantee Conditions should, for any reason, be found to be ineffective or non-enforceable, the other provisions shall nevertheless remain effective and continue to bind the Parties.
11. Personal information communicated to us for correct execution of the agreements and governed by the present General Conditions are recorded in our database, save where objection is made at the time of this communication. This data is intended for internal use within our company and by our suppliers and contractors. The clients have the right to inspect their personal data and to demand any necessary correction or deletion thereof in accordance with the provisions of the law of 25 May 2018 on the protection of personal data (G.D.P.R.)

Algemene Verkoopsvoowaarden

Algemene werk-, verkoop- en garantievoorwaarden

1. Onze werken en verkopen worden uitsluitend geregeld door onderhavige algemene voorwaarden die onze cliënten uitdrukkelijk verklaren te aanvaarden enkel en alleen door bij ons een werk of goederen te bestellen. Er kan van onderhavige algemene voorwaarden enkel afgeweken worden door middel van uitdrukkelijke schriftelijke overeenkomst tussen beide partijen.

2. Onze bestekken en offertes zijn gebaseerd op de prijzen op het ogenblik van hun overhandiging, salarissen en materialen. In geval van wijziging van deze waarden, behouden wij ons het recht voor om de prijzen vermeld in onze bestekken en offertes verhoudingsgewijs aan te passen middels voorafgaande betekening aan de cliënt als de verhoging meer dan 10 % bedraagt. In een dergelijk geval zal de cliënt geacht worden de verhoging aanvaard te hebben als hij de bestelling niet schriftelijk annuleert binnen de 10 dagen na deze betekening. In geval de cliënt een bestelling annuleert, tenzij in geval van toepassing van artikel 2, alinea 2 hierboven, zal hij ten titel van schadebeding een forfaitaire vergoeding verschuldigd zijn gelijk aan 10 % van de waarde van de bestelling, exclusief BTW.

3. Onze leveringstermijnen worden enkel bij wijze van indicatie gegeven en verbinden onze firma niet, noch indien de vertraging te wijten is aan overmacht, noch aan vertraging bij de levering van een leverancier. De overschrijding van de termijn kan nooit aanleiding geven voor de cliënt tot enige schadevergoeding of tot de, volledige of gedeeltelijke, ontbinding van de overeenkomst, tenzij in geval van een fout toe te schrijven aan onze firma.

4. Tenzij uitdrukkelijk anders overeengekomen, worden de goederen toevertrouwd voor herstelling of werken en de verkochte goederen geleverd en aanvaard op de werf. Zo niet worden de toevertrouwde en verkochte goederen, zelfs in het geval van franco verkoop, verzonden op risico van de cliënt. Tenzij anders overeengekomen, zijn eventuele vervoerkosten ten laste van de cliënt. Indien de cliënt de goederen toevertrouwd voor werken of herstelling of de verkochte goederen niet afhaalt op het voorziene tijdstip, behouden wij ons uitdrukkelijk het recht voor om, in geval van verspreide leveringen, de overeenkomst als opgeschort of ontbonden te beschouwen zonder voorafgaande ingebrekestelling, onder voorbehoud van al onze andere rechten. In voorkomend geval zijn de opslag en bewaring in onze magazijnen van de goederen toevertrouwd voor werken of herstelling of van de goederen verkocht, in afwachting van hun afhaling door de cliënt, voor risico en kosten van de cliënt en zal er een staangeld (van 10 € per dag, exclusief BTW) aangerekend worden.

5. In geval de uitvoering van de overeenkomst wegens overmacht onmogelijk wordt, zal deze van rechtswege ontbonden worden of zal de uitvoering ervan opgeschort worden, zonder dat de cliënt van ons enige vergoeding kan eisen ongeacht de reden. Wij behouden ons het recht voor om de overeenkomst van rechtswege als ontbonden te beschouwen zonder voorafgaande ingebrekestelling in het geval van faillissement, aanvraag tot WCO of insolventie van de cliënt.

6. Elke klacht betreffende onze verkoop/leveringen of herstelling (zowel soft- en als hardware), moet ons meegedeeld worden per aangetekende brief binnen de acht dagen volgend op de datum van de levering van de goederen en/of 8 dagen na ontvangstname door de eindgebruiker, indien de vaststelling van conformiteit van de goederen een controletest vereist. De klacht dient duidelijk de datum en het nummer van de factuur alsook van de redenen voor de betwisting te vermelden

7. Behoudens anders overeengekomen, t.t.z. een contante betaling vóór levering of een andere vervaldag, zijn onze facturen betaalbaar binnen de 30 dagen te tellen vanaf de datum van de factuur. Bij gebrek aan betaling op de vervaldag, zullen onze facturen of het niet-betaalde saldo, enkel en alleen door het verstrijken van de termijn, van rechtswege en zonder voorafgaande ingebrekestelling, verhoogd worden met verwijlinteresten berekend overeenkomstig de W 2 AUGUSTUS 2002. – Wet betreffende de bestrijding van de betalingsachterstand bij handelstransacties Bovendien zal elk niet-betaald bedrag 10 dagen na het versturen van een ingebrekestelling, verhoogd worden, ten titel van forfaitair schadebeding, met een bedrag gelijk aan 10 % van het onbetaalde saldo. Onkosten verbonden aan onbetaalde wissels of cheques evenals andere inningskosten zijn in dit forfaitair schadebeding niet inbegrepen en zullen afzonderlijk gefactureerd worden aan de cliënten. Bij niet-betaling op de vervaldag, behouden wij ons eveneens het recht voor om lopende leveringen op te schorten. Bovendien behouden wij ons het recht voor om de overeenkomst als ontbonden te beschouwen voor de volledige of gedeeltelijke uitvoering ervan die nog moet gebeuren en dit van rechtswege en zonder voorafgaande ingebrekestelling of andere formaliteit.

8. Wij behouden het volledige eigendomsrecht over al onze goederen tot de volledige betaling van de hoofdsom, interesten en eventuele kosten en totdat alle verplichtingen die uit deze overeenkomst voortvloeien volledig uitgevoerd werden.

9. In geval van werken besteld door de cliënt op goederen (hard- en software) of organen die aan de cliënt of aan derden toebehoren en die ons toevertrouwd worden met het doel werken uit te voeren, te installeren of te vervangen zijn wij enkel aansprakelijk voor de goede uitvoering van de werken volgens de regels van de kunst. Wij garanderen dat onze werken en leveringen conform de bestelling zijn en dat de door ons geleverde wisselstukken en organen in goede staat van werking zijn. Wij zijn in geen geval aansprakelijk voor gebreken of fouten begaan bij het opnieuw monteren door de cliënt of derden, van goederen, hun onderdelen of organen die door ons hersteld en geleverd werden. In geval de geleverde goederen zichtbare gebreken vertonen, of niet conform zijn aan de bestelling, dient de klant daarvan schriftelijk akte laten nemen op het ogenblik van levering en/of en/of na uitgebreid testen van de geleverde/herstelde wisselstukken (soft- en hardware) . Binnen de 15 dagen na de levering en alleszins en/of na uitgebreid testen van de geleverde/herstelde wisselstukken (soft- en hardware), dient de klant ons per aangetekend schrijven op de hoogte te brengen van enige klacht. In elk ander geval wordt de levering geacht aanvaard te zijn. Het formuleren van een klacht ontslaat de klant in geen geval van diens betalingsverplichting. In geval de klant een verborgen gebrek ontdekt, dient dit binnen een termijn van 8 dagen na de ontdekking ervan aan ons te worden gemeld De waarborg is beperkt tot de herstelling, het wijzigen of de vervanging van de onderdelen of stukken die de goede werking van herstelde goed belemmeren. De waarborg strekt zich niet uit tot de gevolgschade, incl. de schade die voorkomt uit de gebruiksderving van het schip. Onverminderd hoger vermelde bepalingen is de waarborg beperkt tot de tegenwaarde van de herstelling in eigen beheer en loopt tot 6 maanden na de herstelling. Om geldig beroep te doen op de door de werf te verstrekken waarborg dient de opdrachtgever op straffe van verval van de gebreken onmiddellijk na ontdekking ervan AMSS per aangetekende brief in kennis te stellen. De opdrachtgever verleent alle medewerking AMS&S in staat te stellen de gebreken vast te stellen en te verhelpen. De opdrachtgever mag onder geen beding zelf herstellingen uitvoeren of laten uitvoeren zonder de voorafgaande schriftelijke toestemming van de AMS&S De onder garantie uitgevoerde werken moeten in onze werkplaatsen of in een op voorhand door ons aangestelde werkplaats worden uitgevoerd. Onze garantie dekt niet de onderhoudsbeurten, de afstellingen, het aanspannen en andere voorbereidingen nodig voor een normaal gebruik van de herstelde of geleverde wisselstukken of organen, noch de onderdelen of elementen die normaal vervangen worden bij onderhoudsbeurten voorgeschreven door de constructeur. Onze garantie dekt niet de normale slijtage van de herstelde of geleverde motor, motoronderdelen of organen. De garantie kan niet door de koper worden ingeroepen indien het gebrek te wijten is aan een abnormaal gebruik, nalatigheid, aan een gebrekkig of slecht onderhoud door de koper, noch wanneer de herstelde of geleverde wisselstukken of organen werden hersteld of verbouwd door derden of gebruikt werden, behoudens uitdrukkelijke voorafgaande specificatie door de cliënt en door ons aanvaard, in competitieverband of rally’s. De cliënt verbindt zich ertoe dat hij of de gebruiker het nodige zal doen om de schade niet te verergeren, door het herstelde of geleverde goed eventueel niet meer te gebruiken. Bij verzuim zal met deze verergering rekening gehouden worden om de graad van onze tussenkomst te bepalen. De demontage- en montagewerken vereist of voortvloeiend uit een tussenkomst van onzentwege onder garantie, evenals de vervoerkosten vallen ten laste van de cliënt.

10. Onze werken en verkopen worden uitsluitend beheerst door het Belgisch recht. Enkel de rechtbanken van het rechtsgebied waarin de maatschappelijke zetel van onze firma gevestigd is, zijn bevoegd In het geval om één of andere reden, een of meerdere bepalingen van onderhavige algemene werk-, verkoop- en garantievoorwaarden geen uitwerking zouden kunnen hebben, zullen de andere bepalingen van kracht blijven en de partijen blijven verbinden.

11. De persoonsgegevens die onze cliënten meedelen voor de goede uitvoering van de overeenkomsten beheerst door onderhavige algemene voorwaarden worden in onze gegevensbank geregistreerd behoudens verzet op het ogenblik van deze mededeling. Ze zijn bestemd voor intern gebruik in onze firma en door onze leveranciers. De cliënten hebben het recht om de gegevens die op hen betrekking hebben in te zien en een eventuele verbetering of schrapping ervan te vragen conform de bepalingen van de wet van 25 mei 2018 inzake de gegevensbescherming (G.D.P.R.)
